The Battle For Yellow

A couple of years back negotiations were in the latter stages for the sale of FDX Freight to Old Dominion but the process suddenly ended. The suspicion was that federal antitrust regulators were watching the deal. OD decided to stay cool and wait to see what fell in it's lap later.

Into it's lap falls Yellow.

In an interview the head of OD was asked if he was interested in Yellow. He said he was very much interested in Yellow's real estate but not it's trucks and trailers. No surprise. Real estate goes up in value,. Trucks go down in value. That's why FDX Ground has contractors to eat those losses.

At the time of shutdown Yellow was reportedly 1.5 billion dollars in debt of which 700 million was owed to the federal government. So come this past Friday night low and behold OD shows up with an offer of guess what? 1.5 billion which beat Estes offer of 1.3 billion but the 1.5 offer was only for the real estate.

Will OD end up with Yellow or will somebody like Fat Freddy will decide that he doesn't want to be left out of the fun? From a competitive balance standpoint buying up and integrating Yellow's assets and facilities into the new owner's operation might be easier given that it's a bankruptcy transaction.

Considering how Freight has recently closed down many low performing facilities, I don't see them wanting to spend a bunch of money on buying new Yellow facilities only to end up closing many of them down in the future. Of course we are talking about FedEx, so if it doesn't make sense, then it's very possible it will happen. Especially if they can use such a big purchase as an excuse to not give out raises this year.

Used trucks on line will tell you most fleets just lease so the turnover is faster.
I would expect to see the majority to be sold for scrap or for off road trailer storage or perhaps a few of the better condition units to be exported.

Class 8 trucks last. forever and trailers for longer this is not Ground with bent and cracked frames.
They're generally 5 year property and are depreciated accordingly . At the end of 5 years they are pretty much salvage value. In addition if you were to look around a Yellow yard you'll see that quite a bunch of them are single axle that won't bring much . Sure if you needed something to pull your backhoe around , something like that one of them might work.

Farmers will buy those old junk trucks. Put a little money in them and run’em for another 20 years

Semis run to 1 million or more miles older trucks are often more valuable because of pre emissions engines. Starting your own trucking company by a used 20k rather than a lease to own 140k truck, the freight pays the same.
